CHARTER
1. GENERAL PROVISIONS
1.1 Law Students’ Division (hereinafter referred to as Division) of
non-governmental organization "Armenian Young Lawyers Association" (hereinafter
referred to as AYLA) is a structural subdivision of AYLA, which was established
on the decision 24-2 of AYLA Board made on 09.12.2003.
1.2 The Organization operates in compliance with RA legislation and this Charter.
1.3 The name of the Division is:
Law Students’ Division of Armenian Young Lawyers Association in English, Law
Students’ Division in short.
1.4 The Division operates on the whole territory of the Republic of Armenia.

2. GOALS AND OBJECTIVES OF THE DIVISION
2.1. The goals and objectives of the Division are:
3. LEGAL STATUSE OF THE DIVISION
3.1. Law Students’ Division is not a legal entity. It is AYLA subdivision
and operates in compliance with the Charter, adopted by AYLA Board.
3.2. The Division reports to AYLA President and LSD Board on its activities.
3.3. The Division may have its official papers, logo and other identifying
features on the consent of AYLA President.
3.4. The Division may publish newsletters, leaflets as well as disseminate
information on its activities through AYLA Web-page.
3.5. In AYLA consent the Division may have its current account. The assets
of this account may be spent in accordance with the preliminary estimates approved
by AYLA President.
4.1. AYLA has the authority of final decision on the Division’s activities
and management.
4.2. The Law Students’ Division has a Board and a Head of LSD.
4.3. The governing body of the Division is the Board.
4.4. AYLA President approves the number of Board members, introduced by the
Head of the Division.
4.5. AYLA President assigns the Board members, who are introduced by the Head
of the Division, for the period of one year.
4.6. LSD Board:
a) discuss and approve the projects and activities, proceeding from the work
plan of the division.
b) form committees, working groups and other bodies if necessary.
c) consider and approve the reports of LSD Head, issues commissions.
4.7. The Board organizes its activities through sessions, which are held on
quarterly basis at least. Special sessions are held on the decision of AYLA
Board, AYLA President, Head of the Law Students’ Division or at the written
request of at least one-third of the membership. The Session is considered
valid if more than half of the members are present. Resolutions are adopted
by the simple majority of votes.
4.8. The Responsible Secretary of the Division keeps records the session. The
Head of the Division and the Responsible Secretary sign the adopted decisions
of the Division.
4.9. The Head of Law Students’ Division acts as a governing body of the
Division during the period between the sessions of the Board.
4.10. The Head of Law Students’ Division is appointed and dismissed by
AYLA President. Head of the Division is appointed for one-year term. The Head
of the Division may be reappointed for the new term.
4.11. The Head of the Division ex-officio is a member of Board and is the Head
of the Board.
4.12. The Head of Law Students’ Division:
a) governs the activities of the Division during the period between the sessions
of the Board,
b) provides the structure of the Division to the approval of AYLA President,
c) provides the number of the Members of Board to the approval of AYLA President,
d) provides the list of the Members of Board to the approval of AYLA President,
e) provides the names of the Responcible Secretary and the Cashier to the approval
of AYLA President,
f) provides the annual work plan, the changes of the annual work plan of the
Division, as well as project proposals to the approval of AYLA President,
g) appoints and dismisses the responsible persons of the corresponding subdivisions
of LSD, decides the authorities of the heads of subdivisions, which cannot
contradict with AYLA and LSD Charters,
h) conducts and presides the sessions of LSD Board, signs the decisions adopted
by the Board of the Division, speaks on behalf of the Division, represents
the Division in different entities and organizations,
i) provides written reports on LSD activities to AYLA President on monthly
basis, provides written reports on LSD activities to AYLA President and the
Board of the Division on quarterly and semi-annual basis, provides annual reports
to AYLA President and the Board of the Division, implements other activities
and duties vested on him, which do not contradict to AYLA and this Charters,
implements the commissions of AYLA President.
4.13. Responsible Secretary:
a) keeps records of the sessions of the Division,
b) signs the decisions adopted by the Division,
c) coordinates the activities of calling and organizing the meetings of LSD
Board,
d) is in charge of the archive of the Division and is responsible for keeping
the files and the archive in proper order,
e) carries out separate authorities imposed on him/her by LSD Head,
f) carries out other activities and duties vested on him/her, which do not
contradict to AYLA and this Charter, implements the commissions of AYLA President.
4.14. Cashier
a) in conformity with the authority imposed on him controls and maintains
the property and financial means of the Division,
b) coordinates the process of collection of entry and membership fees of
LSD members,
c) carries out fundraising activities for LSD,
d) carries out other activities and duties vested on him/her, which do not
contradict to AYLA and this Charter, implements the commissions of AYLA President.
4.15. Coordinators of Subdivisions
a) organize and coordinate the activities of the corresponding subdivision,
b) carry out other activities and duties vested on them, which do not contradict
to AYLA and this Charters, implement the commissions of AYLA President and
LSD Head.
4.16. Monitoring of the activities of Law Students’ Division is realized
in compliance with the procedures
provided by AYLA Charter .
5. MEMBERSHIP, PROCEDURE OF ADMISSION AND WITHDRAWAL, RIGHTS AND RESPONSIBILITIES/DUTIES OF THE MEMBERS.
5.1. Any student of a law school or the law department of other institute,
as well as the students of magistrate and post-graduate students can become
a member of the Division.
5.2. Membership, the procedure of admission and withdrawal from the membership
and the rights and obligations of the members are of the Division are carried
out in compliance with requirements
provided by AYLA Charter .
6. THE PROPERTY AND MEANS OF THE DIVISION
6.1. The sources for forming the property of the Division may be the fixed
or the current capital provided by AYLA, donations, grants and other sources
unless prohibited by the laws of the Republic of Armenia.
6.2. The Division has the right of property ownership of the goods and assets.
6.3. The Division has no separate balance.
6.4. The Division may have a separate balance on the consent of AYLA President.
The assets are utilized in accordance with the estimate approved by AYLA President.
6.5 The labor relations within the Division are coordinated in conformity with
AYLA procedures.
7. REORGANIZATION AND LIQUIDATION OF THE DIVISION
7.1. AYLA may reorganize and/or liquidate Law Students’ Division in
compliance with the procedure provided in AYLA Charter.
7.2. In case of the liquidation of the Division, its property is transferred
to AYLA.
